Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the ZipLeaf network of online business directories and all related websites, features and services (collectively, the “Service”). The Service is owned and operated by Netcode, Inc. (“ZipLeaf”, “we”, “us”, “our”). By accessing or using the Service you agree to be bound by these Terms and by our Privacy Policy and Copyright Policy. If you do not agree, do not use the Service.
1. Eligibility & accounts
- You must be at least the age of majority in your jurisdiction, or have the consent and authority of the business you represent, to create an account or post a listing.
- You are responsible for the accuracy of the information you provide, for keeping your login credentials secure, and for all activity that occurs under your account.
- You may only create a listing for a business you own, operate, or are authorized to represent, and you must keep that listing accurate and up to date.
2. Your content & listings
- You retain ownership of the content you submit (business details, descriptions, images, links, articles and other materials), but you grant us a worldwide, non-exclusive, royalty-free licence to host, store, display, reproduce, adapt for formatting, distribute and promote that content as part of operating and marketing the Service.
- You represent and warrant that you have all rights necessary to submit your content and that it does not infringe any third party’s rights or violate any law.
- Listing content is intended to be displayed publicly and may be indexed by search engines. You are solely responsible for the content you publish and for any consequences of publishing it.
3. Acceptable use
You agree to use the Service only for lawful purposes and not to misuse it. Without limitation, you agree that you will not:
- Post false, misleading, fraudulent, defamatory, obscene, offensive or unlawful content, or impersonate any person or business;
- Use the Service for spam, surveys, contests, pyramid or referral schemes, chain letters, or any unsolicited or duplicative messaging;
- Harass, threaten, defame, stalk or otherwise violate the rights of others, or harvest or collect information about other users (including email addresses);
- Upload or distribute material that infringes any copyright, trademark, patent, trade secret, privacy, publicity or other right;
- Upload viruses or malicious code, or attempt to gain unauthorized access to, scrape, overload, disrupt or interfere with the Service, its security or its infrastructure;
- Stuff keywords, post unreadable or non-standard text, or use any technique intended to manipulate search engines or our rankings;
- Violate any applicable law or regulation.
4. Moderation, suspension & removal
- We may review, edit, hide, suspend, refuse, or remove any listing, account or content, in whole or in part, at any time and at our sole discretion, with or without notice and for any reason — including suspected violation of these Terms, suspected fraud or abuse, legal requirements, or to protect the Service or its users.
- Listings are submitted for review and may be held, returned to pending, or rejected before or after going live.
- If we remove a paid (upgraded or sponsored) listing for a reason other than your violation of these Terms or applicable law, our sole obligation is to refund the unused, prepaid portion of the fee for that feature. No refund is due where a listing or account is removed, suspended or terminated because of a violation of these Terms, fraud, abuse, or a legal requirement.
- We are not obligated to monitor content, and our decision not to act in any particular case does not waive our right to act in others.
5. Paid features & billing
- Certain features (such as account upgrades and sponsored listings) are paid. Prices, inclusions and availability are shown at the point of purchase and may change.
- Payments are processed by our third-party payment providers; by purchasing, you also agree to their terms. You authorize us and our providers to charge your selected payment method for the amounts due.
- Except as expressly stated in these Terms or required by law, fees are non-refundable. Free features are provided as-is and may be added, changed or discontinued at any time.
6. Intellectual property
The Service, including its software, design, text, graphics, logos and the compilation of its directory data, is owned by or licensed to Netcode, Inc. and is protected by intellectual property and database rights. The ZipLeaf name and logo are trademarks of Netcode, Inc. You may view and print extracts for your personal, non-commercial use only. You may not copy, reproduce, republish, scrape, store, distribute, or create derivative works from any part of the Service or its data for any commercial or public purpose without our prior written permission.
7. Third-party content & links
The Service displays business listings, advertising and links to third-party websites that we do not control. We do not endorse and are not responsible for any third-party content, products, services, advertising, or websites, or for any dealings between you and any business listed on or linked from the Service. Advertisers and business owners are solely responsible for ensuring their material complies with all applicable laws.
8. Disclaimer of warranties
The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, availability, title or non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free or free of harmful components, or that any content, listing or business information is accurate, complete, current or reliable. Access may be interrupted, restricted, delayed or discontinued at any time for any reason.
9. Limitation of liability
To the fullest extent permitted by law, in no event will Netcode, Inc., ZipLeaf, or their owners, officers, employees, contractors or suppliers be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, goodwill, reputation, data, or content, arising out of or relating to your use of (or inability to use) the Service. This includes, without limitation, any liability for:
- any loss, deletion, corruption, or unavailability of data, listings, content or messages, whether caused by us, by a service provider, by a technical failure, or otherwise;
- any security incident, unauthorized access, breach, or interception of information, to the maximum extent the law allows;
- any damage to reputation, business or goodwill, lost opportunities, or actions or decisions you take based on the Service or its content;
- service interruptions, downtime, errors or inaccuracies; and the conduct, content or listings of any user, advertiser or third party.
To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service will not exceed the amount you paid to us for the specific paid feature giving rise to the claim in the twelve (12) months before the event, or, where you have paid nothing, zero. Some jurisdictions do not allow certain exclusions or limitations; in those cases the above applies to the greatest extent permitted by law and nothing in these Terms limits liability that cannot be limited by law.
10. Indemnification
You agree to indemnify, defend and hold harmless Netcode, Inc., ZipLeaf and their owners, officers, employees and contractors from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or related to your content, your use of the Service, your violation of these Terms, or your violation of any law or the rights of any third party.
11. Changes to the Service & these Terms
We may add, modify, suspend or discontinue any part of the Service at any time. We may also revise these Terms from time to time; the “Last updated” date above reflects the current version. Your continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.
12. Termination
You may stop using the Service at any time. We may suspend or terminate your access or remove your content at our discretion as described above. Provisions that by their nature should survive termination — including content licences, intellectual property, disclaimers, limitation of liability and indemnification — will survive.
13. Governing law
These Terms are governed by the laws applicable in the jurisdiction in which Netcode, Inc. is established, without regard to conflict-of-law principles, and you agree to the exclusive jurisdiction of the courts located there for any dispute, except where applicable law grants you rights in your own jurisdiction.
